Terms of Service
Version 2026-10-30
These terms form a legally binding agreement between you and WheelAlly and are governed by the laws of the Republic of Singapore. Please read them carefully, in particular sections 5 to 10, which limit our liability and require you to indemnify us.
1. Definitions and acceptance
In these terms, “WheelAlly”, “we”, “us” and “our” mean the operator of the WheelAlly platform; the “Platform” means the WheelAlly website, applications and related services; a “Shop” means any shop, dealer, workshop, mechanic, rental provider or other business that lists goods, services or rental bikes on the Platform; a “Customer” means any user who browses, enquires about, books, rents or purchases from a Shop, or who buys a motorcycle from a Rider Seller; a “Rider Seller” means an individual user who offers their own motorcycle for sale on the Platform; and the “WheelAlly Parties” means WheelAlly, its operating company, its technology provider Blugraph Technologies Pte Ltd, and each of their respective affiliates, directors, officers, employees, agents and licensors.
By registering for or using the Platform you agree to be bound by these terms. If you do not agree, you must not use the Platform. If you use the Platform on behalf of a business, you represent that you are authorised to bind that business, and “you” includes that business.
2. Eligibility and your account
You must be at least 18 years old and capable of entering into a binding contract. You agree to provide accurate, current and complete information and to keep it up to date. You are responsible for all activity under your account and for keeping your password and verification codes confidential, and you must notify us promptly of any suspected unauthorised use. A Shop is responsible for the members it adds to its team and for everything they do on its behalf.
3. Personal data
Our handling of personal data is described in the Privacy Notice, which forms part of these terms. By registering you confirm that you have read it and consent to the collection, use and disclosure of your personal data for the purposes set out there. If you upload or share another person’s personal data, including a photo in which they can be identified or a tag naming them, you warrant that you have obtained that person’s consent as required by the Personal Data Protection Act 2012.
4. Our role: a marketplace, not a party
The Platform is an online venue that enables Customers to discover and communicate with independent Shops, and to buy, book, rent or request quotes from them. WheelAlly does not sell, repair, service, inspect, rent out or deliver any vehicle, part, gear, accessory or service listed on the Platform, and is not an agent, employee, partner or representative of any Shop or Customer.
Any contract for the sale of goods, the supply of services or the rental of a motorcycle is made solely and directly between the Shop (or, for a rider bike sale, the Rider Seller) and the Customer. WheelAlly is not a party to that contract and assumes no rights, obligations or liabilities under it. A price or quote sent by a Shop, including a private quote for a new bike or a quote for a service, is the Shop’s own offer, and only the Shop is bound by it. Any reference on the Platform to a Shop being “verified” means only that the Shop has completed our account registration; it is not an endorsement, certification or guarantee of the Shop’s qualifications, licences, conduct or work.
Features that suggest Shops, services or categories (for example matching the words you type to the services Shops offer) are provided for convenience and may be incomplete or inaccurate. You should confirm the details with the Shop.
5. Service quality and workmanship
The quality, safety, legality, timeliness, pricing and fitness for purpose of all goods, services and rental bikes, including any repair, servicing, inspection, modification, installation, warranty or after-sales support, are the sole responsibility of the Shop that provides them, and are a matter strictly between that Shop and the Customer.
Shops are solely responsible for the accuracy of their listings, prices, quotes, stock and descriptions; for holding every licence, registration, permit and insurance required by Singapore law; and for complying with all applicable laws, including the Consumer Protection (Fair Trading) Act 2003 and the Sale of Goods Act 1979. Customers are responsible for satisfying themselves as to the suitability of any goods, services, rental bike and Shop before contracting.
WheelAlly gives no representation, warranty or guarantee of any kind concerning any goods, services, rental bike, Shop or Customer, and accepts no responsibility or liability for any defect, delay, damage, loss, injury, non-performance or other issue arising from goods, services or rentals supplied through or in connection with the Platform.
6. Ratings and reviews
Ratings and reviews are submitted by users and represent solely the personal opinions of their authors. They are an exchange of information between Customers and Shops. WheelAlly does not author, verify, investigate, endorse or guarantee the accuracy of any rating or review, and accepts no responsibility or liability for any rating, review or reply, or for any decision made in reliance on it.
You agree that any review you submit is honest, based on your genuine experience and not defamatory, abusive or misleading, and that you will not offer or accept any inducement for a review, post reviews of your own business or a competitor’s, or otherwise manipulate ratings. Any disagreement about a rating or review, including a Shop’s objection to a Customer’s review, is to be resolved directly between the Shop and the Customer. We may, at our sole discretion and without any obligation to do so, remove or decline to publish content that we consider breaches these terms or the law.
7. Disputes between users
Subject to section 7A, any dispute concerning a sale, booking, rental, quote, payment, refund, deposit, warranty, service quality or review must be resolved directly between the Shop and the Customer concerned. WheelAlly has no obligation to mediate, adjudicate or enforce any such dispute, although it may choose to assist at its discretion.
To the fullest extent permitted by law, you release and forever discharge the WheelAlly Parties from all claims, demands, damages, losses and liabilities of every kind, known or unknown, arising out of or in any way connected with any dispute between you and another user, or with any goods, services, rentals, ratings or reviews provided by another user.
7A. Online payments, fees and refunds
Who takes the payment. When you pay online, you pay WheelAlly, which receives the money as the Shop’s (or Rider Seller’s) limited agent for collecting payment. Once your payment to WheelAlly succeeds, you have paid the Shop or Rider Seller for that order, booking or bike. Card and PayNow payments are processed by Stripe; WheelAlly never sees or stores your full card number.
One payment for your whole cart. When your cart has items from several Shops and you pay online, you make a single payment for the whole cart. Each Shop still receives its own order and is responsible only for its own items; a refund on one Shop’s order does not affect the others.
Fees. The bill shows every fee, and the card fee’s rate, before you pay. The fees in force are set by WheelAlly and may change; the fees that apply to your order, booking or request are the ones shown when you placed it. Currently:
- Card processing fee (paid by you, card only). When you pay by card, a fee is added to cover what the card processor charges. It is worked out for each payment from the rate shown at checkout (currently 2.8% of the amount charged plus S$0.50, including the processor’s charge on the fee itself) and is always shown as both a rate and an amount before you pay.
- PayNow. Paying by PayNow has no fee for you.
- Platform fee (paid by the Shop or Rider Seller, never by you). WheelAlly charges the seller a platform fee of S$10 on every order, rental booking or rider bike sale paid online through WheelAlly. It is not added to your bill.
- Quote request fee (paid by you). S$2 to ask Shops for a new-bike price, or to ask several Shops at once for a service quote.
- Cash at the Shop. You pay no fees when you pay a Shop in cash at the Shop. WheelAlly may set a fee that the Shop pays on such sales; it is shown to the Shop in advance.
What is refundable. The card processing fee covers the card processor’s charge and is not refunded, including where the goods, services, rental or bike are refunded in full. Everything else you paid for an order, booking or rider bike sale can be refunded under the rules below. The quote request fee is refunded in full if no Shop answers within 14 days, if every Shop declines, or if no Shop can take the request; it is not refunded if you cancel the request yourself.
Refund policies. Each Shop (and each Rider Seller) sets its own refund policy, which is shown before you pay. The policy that applies is the one shown when you placed the order, booking or purchase. A seller may choose not to offer refunds; where it does, you must confirm that you understand this before you pay.
Minimum protection. Whatever a seller’s policy says, where you paid online through WheelAlly you are entitled to a refund of the amount paid (less any card processing fee) if the seller cancels the order, booking or sale, cannot supply the item, never hands it over, or supplies an item that is materially not as described.
How refunds work. You may ask for a refund from your order or booking page. The seller must respond within 3 days. If it declines, you may ask WheelAlly to review the request. Refunds of online payments are made only by WheelAlly, to the original payment method, and WheelAlly’s decision on a reviewed request is final as between you, the seller and WheelAlly, without affecting any rights you have under the law. Some refunds are made automatically, for example when a Shop cancels a paid booking or a payment arrives after the order was cancelled. Refunds of payments made directly to a Shop (for example in cash) are a matter between you and the Shop.
Vouchers. Vouchers issued by WheelAlly or by a Shop are subject to the conditions shown with them (such as minimum spend, expiry and number of uses), have no cash value and cannot be exchanged for cash. A Shop is responsible for honouring the vouchers and loyalty rewards it issues.
Shop payouts. To be paid for online sales, a Shop sets up a payout account with Stripe, WheelAlly’s payment provider (Stripe Connect), on Stripe’s own pages, and accepts Stripe’s Connected Account Agreement; WheelAlly does not see or store the Shop’s bank details. For each order or booking paid online, WheelAlly sends the Shop its share: the amount the Customer paid, less the card processing fee, the platform fee, any refunds and any amounts the Shop owes WheelAlly. Until the Shop has finished setting up its payout account, its share is held by WheelAlly and sent once set-up is complete; WheelAlly may remind the Shop to do so. Payouts on a payment that a Customer disputes with their card issuer may be held until the dispute is resolved.
The platform fee stays with the Shop after a refund. The platform fee is charged for the use of WheelAlly and remains payable by the Shop even if the Customer is refunded in full. Where a refund is made after the Shop’s payout was sent, WheelAlly takes the refunded amount back from the Shop’s payout account; any part it cannot take back, including the platform fee, is owed by the Shop to WheelAlly.
What a Shop owes WheelAlly. Amounts a Shop owes WheelAlly (the platform fee where it could not be taken from a payout, any fee on cash sales, refunds not covered by a payout, and the late-response fee below) are taken from the Shop’s next payouts, and anything still unpaid is listed on a monthly statement that the Shop pays to WheelAlly; unpaid amounts are carried into the next statement. A Shop that does not respond to a refund request within 3 days may be charged a late-response fee of 1% of the order or booking.
7B. Motorcycle rentals
A rental is a contract between you and the rental Shop on the terms of the Shop’s rental agreement, which you sign on the Platform by typing your name before you pay. To rent, you must hold a valid Singapore driving licence of the class the bike requires and complete your rental profile, and everything you declare in it must be true. You are responsible for the bike from collection until it is returned, including fuel, any traffic or parking fines, and any loss of or damage to the bike, as set out in the Shop’s rental agreement. The deposit, its return and any deduction from it are a matter between you and the Shop. The Shop is responsible for the bike’s roadworthiness, its insurance and its compliance with the law.
7C. Shop tools
Shops may use the Platform to run their business, including counter sales, customer records, service history and reminders, purchasing, accounts, staff work records, vouchers, loyalty cards and customer offers. A Shop is responsible for the records it keeps and the messages it sends: it must have a lawful basis, and any consent required, for the personal data it enters about its customers and staff, and it may send offers only to customers who have agreed to receive them. Reports, accounts and GST summaries are provided for information only and are not accounting or tax advice; the Shop remains responsible for its own books and tax filings.
7D. Rider bike sales
A Rider Seller may offer their own motorcycle for sale on the Platform. The sale is a contract between the Rider Seller and the Customer; the Rider Seller is responsible for the bike, its description, its condition, its ownership and its transfer, and WheelAlly does not inspect or guarantee it.
Paying for a rider’s bike. Where the Rider Seller has added a PayNow number for payouts, a Customer may pay through WheelAlly: the full price, or the deposit the Rider Seller set with the rest paid in cash at handover. The Customer pays the card processing fee if paying by card, and nothing else. Paying reserves the bike for that Customer. If the bike was already taken, the late payment is refunded automatically (less any card processing fee).
Offers. A Customer may make an offer on a bike. If the Rider Seller accepts it, the Customer pays the accepted price; offers close when the bike is sold or taken off sale.
Handover and payout. WheelAlly holds the payment until the handover is confirmed on the Platform by either side. WheelAlly then pays the Rider Seller by PayNow: the amount paid online, less the card processing fee, the S$10 platform fee (paid by the Rider Seller, as for Shops, and payable even if the Customer is later refunded in full), any refunds and any amounts the Rider Seller owes WheelAlly. A Rider Seller does not need a Stripe account.
Refunds and cancellations. A Rider Seller sets a refund policy, shown before the Customer pays, and refund requests follow section 7A: the Rider Seller answers first, within 3 days, and then WheelAlly may review. If the Rider Seller cancels before handover, the Customer is refunded in full (less any card processing fee). The same late-response fee and the same rules on amounts owed to WheelAlly apply to Rider Sellers as to Shops.
8. Indemnity
You agree to indemnify, defend and hold harmless the WheelAlly Parties from and against any and all claims, actions, demands, proceedings, losses, damages, liabilities, penalties, fines, costs and expenses, including reasonable legal fees on a full indemnity basis, arising out of or in connection with:
- your use of the Platform, or any goods, services or rentals you offer, supply, book, rent or purchase through it;
- in the case of a Shop or Rider Seller, the quality, safety, legality or performance of your goods, services and rental bikes, your listings and quotes, the records you keep and messages you send using the Platform, and any contract between you and a Customer;
- any rating, review, message, listing, photo, Moment or other content you submit;
- your breach of these terms, or your violation of any law or the rights of any third party; and
- any dispute between you and any other user.
We reserve the right, at your expense, to assume the exclusive defence and control of any matter for which you are required to indemnify us, and you agree to co-operate with our defence of that matter. This indemnity survives the closure of your account and the termination of these terms.
9. Disclaimer of warranties
The Platform and all content on it are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, the WheelAlly Parties exclude all representations, warranties, conditions and guarantees, whether express, implied or statutory, including any implied terms as to satisfactory quality, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Platform will be uninterrupted, timely, secure or error-free.
10. Limitation of liability
To the maximum extent permitted by law, the WheelAlly Parties shall not be liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any indirect, incidental, special or consequential loss, or for any loss of profit, revenue, business, goodwill, data or anticipated savings, arising out of or in connection with the Platform or these terms.
Subject to the paragraph below, the total aggregate liability of the WheelAlly Parties arising out of or in connection with the Platform or these terms shall not exceed the greater of (a) the fees, if any, that you paid to WheelAlly in the twelve (12) months preceding the event giving rise to the claim, and (b) one hundred Singapore dollars (S$100).
Nothing in these terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, liability for fraud or fraudulent misrepresentation, or any right you have under the Unfair Contract Terms Act 1977 or the Consumer Protection (Fair Trading) Act 2003 that cannot be excluded by agreement.
11. Acceptable use
You agree not to post fraudulent, misleading, infringing or unlawful content; harass, threaten or defame any person; send spam; scrape, copy or reverse-engineer the Platform; interfere with its security or operation; or attempt to gain unauthorised access to it or to any account. You must not post a photo you do not have the right to share, post or tag another person without their agreement, or misuse the photo report feature. Rider Cove channels are moderated by their creators, subject to these terms.
12. Content you upload
You retain ownership of the content you upload, including listings, photos, Moments, messages and reviews. You grant WheelAlly a worldwide, non-exclusive, royalty-free licence to host, reproduce, display and adapt that content for the purpose of operating and promoting the Platform. You warrant that you have all rights necessary to grant this licence and that your content does not infringe the rights of any third party. Anyone may report content they believe infringes their rights or privacy, and we may remove it.
Sound and music in your videos. If a video you post keeps its own sound, you are solely responsible for that sound, including any music, recording or other audio in it. Before posting, you confirm that you recorded it yourself or hold every licence and permission needed to share it on the Platform, and we keep a record of that confirmation. You indemnify the WheelAlly Parties under section 8 against any claim that the sound infringes a third party's rights. If a rights holder complains, or we reasonably believe the sound infringes someone's rights, we may mute or remove the video, or suspend your account, without notice; repeated infringement may lead to termination.
Music provided on the Platform. Music you choose from the Platform's library (currently supplied by Epidemic Sound) is licensed to WheelAlly, not to you. You may use it only in content you post on the Platform, where it plays as part of your post. You must not download, record, extract or reuse it anywhere else. We may change or remove the library, or any track, at any time, and a post may then play without its music.
13. Suspension and termination
We may suspend, restrict or terminate your access to the Platform, and remove any content, at any time and without prior notice if we reasonably believe you have breached these terms or the law, or to protect other users or the Platform. You may close your account at any time. Sections 4 to 10, 12 and 15 survive termination. Some records may be retained where we are required or permitted by law to keep them, as described in the Privacy Notice.
14. Changes to these terms
We may amend these terms from time to time. The version date above shows when they were last updated. Material changes will be notified on the Platform, and your continued use after the effective date constitutes acceptance of the amended terms.
15. General
These terms, together with the Privacy Notice, constitute the entire agreement between you and WheelAlly concerning the Platform. If any provision is held invalid or unenforceable, it shall be severed or read down to the minimum extent necessary, and the remaining provisions shall continue in full force and effect. No failure or delay in exercising any right operates as a waiver of it. You may not assign your rights under these terms without our prior written consent. Except for the WheelAlly Parties, who may enforce sections 7 to 10, a person who is not a party to these terms has no right under the Contracts (Rights of Third Parties) Act 2001 to enforce any of them.
16. Governing law and jurisdiction
These terms, and any dispute or claim arising out of or in connection with them or the Platform (including non-contractual disputes or claims), are governed by and construed in accordance with the laws of the Republic of Singapore, and you irrevocably submit to the exclusive jurisdiction of the courts of the Republic of Singapore.
